I assist businesses that are start-ups or that are engaging in major corporate transactions such as financings, contractual arrangements, restructurings, mergers and acquisitions. In addition, great deal of my corporate practice is devoted to aiding minority shareholders to secure their fair share of company benefits in close corporations.
I assist corporations with their critical transactions and aid shareholders that have been frozen out. Annually, for almost 20 years, I have written the Massachusetts Practice book, published by Thomson Reuters, on the Law of Corporations. Researching and writing the book, as well as 40 years of corporate practice, have provided me a deep understanding of this area. I share this expertise with other lawyers. Often, generalist lawyers or company counsel find corporation law concepts dense and ambiguous and research in the area difficult, expensive and time consuming. I provide assistance in a variety of ways, from informal advice and providing forms to writing research memoranda, reviewing and editing of documents or briefs, or taking on an entire project, drafting an entire memorandum, document or brief.
